1. Introduction & Acceptance of Terms

1.1 These Terms and Conditions (“Terms”) govern the use of our desktop application software (“Software”) and our website (“Website”).

1.2 By purchasing, installing, accessing, or using our website or Software, you agree to be bound by these Terms. If you do not agree, please refrain from using our website or software.

2. License and Access

2.1 Universal

• The Software is licensed on a yearly subscription basis.
• The license is non-transferable and non-exclusive.
• Usage is limited to the agreed number of devices/users.
• Website access is restricted to registered accounts.

2.2 India-specific

License fees are subject to Goods and Services Tax (GST) under applicable Indian law.

2.3 International-specific

Local taxes, VAT, or duties may apply depending on the customer’s jurisdiction.

3. Renewal and Termination

3.1 Licenses and subscriptions automatically expire after one year unless renewed.

3.2 Non-payment or violation of these Terms may result in suspension or termination of access.

3.3 Universal: Payments are non-refundable.

4. User Responsibilities & Conduct

4.1 Users must provide accurate registration details and keep login credentials and data confidential.

4.2 Users may use our software and services for lawful business purposes only. Users must not:

• Reverse-engineer, copy, duplicate, or redistribute the Software.
• Use the Website or Software for unlawful purposes.
• Share login credentials or license keys.

4.3 India-specific: Users must comply with the Information Technology Act, 2000.

4.4 International-specific: Users must comply with applicable IT and data laws (e.g., GDPR in EU, CCPA in California).

5. Updates and Support

5.1 Updates, patches, or new versions are not included during the subscription period.

5.2 Separate quotation for updates, patches, or new versions may be provided.

5.3 Technical support is available only to active subscribers.

6. Intellectual Property

6.1 All content, code, design elements, and branding materials remain the intellectual property of eBiz Infoserves Pvt Ltd.

6.2 Users are granted limited rights to use but not ownership. You may not reproduce or distribute any part without written permission.

7. Data and Privacy

7.1 Universal: Personal data is collected and processed in accordance with our Privacy Policy. By using our services, you consent to the collection and use of data as described therein.

8. Limitation of Liability

8.1 The Software and Website are provided “as is” without warranties of any kind.

8.2 eBiz Infoserves Pvt Ltd is not liable for any direct, indirect, or incidental damages, including:

• Loss of data, profits, or business interruption.
• Damages caused by misuse, third-party integrations, or hardware failures.

9. Governing Law & Jurisdiction

9.1 These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Porbandar, Gujarat.

10. Changes to Terms

10.1 We reserve the right to update or modify these Terms at any time.

10.2 Continued use of our website or services after changes constitutes acceptance of the revised Terms.
